LETTER OF AGREEMENT
between
NORTHWEST AIRLINES, INC.
and
FLIGHT ATTENDANTS
in the service of
NORTHWEST AIRLINES, INC.
as represented by
ASSOCIATION OF FLIGHT ATTENDANTS - CWA, AFL-CIO


THIS AGREEMENT is entered into by and between Northwest Airlines, Inc., a
Minnesota Corporation (the "Employer"), and the Flight Attendants in the
service of Northwest Airlines, Inc., as represented by the Association of Flight
Attendants - CWA, AFL-CIO (the "Union").
The undersigned parties agree as follows:
The Company and the Union have agreed to delay the implementation of the
Preferential Bidding System (PBS) from October 2006, to no earlier than April
2008, implementation. Consequently, the current SLIC bidding system will be
utilized for bidding until implementation of PBS. The parties therefore agree
to modify the Critical Bid Process as follows:
1. The Critical Bid process may be utilized by the Company each November
and December until the implementation of PBS.
2. Critical bid parameters shall be amended as follows:
a. The trace ratio at the base must be at or above ten percent (10%) for
any given day(s) of the bid month at the point where no other Regular
lines can be built during the original SLIC awarding process.
b. The Reserve open time ratio must be at or above twenty-five percent
(25%) on any given day of the bid month during the original SLIC
awarding process. The open time ratio for the critical day(s) must be at
or above twenty-five (25%) and the adjoining days are equal to or less
than fifty percent (50%).
c. The most senior twenty-five percent (25%) of the Flight Attendants at a
base who are eligible to bid shall be exempt from Critical Bid
Processing.
3. The Company and the Union agree to investigate possible changes to the
reserve awarding process in SLIC that shall provide acceptable reserve
coverage. Should such changes not be possible prior to the
commencement of bidding for November 2007, the Company may adjust
Reserve lines as specified below:
In the event five percent (5%) or more of the Reserve lines
at a base have been duplicated, the Company shall develop
no less than five (5) and no more than ten (10) alternate
reserve lines.
